Founders Circle Member Agreement
A binding enrollment agreement for the JetQuest Founders Circle program
This Founders Circle Member Agreement ("Agreement") is entered into between you ("Member," "you") and JetQuest Travel LLC, a Texas limited liability company ("JetQuest," "we," "us," "our").
It governs your enrollment in the JetQuest Founders Circle ("Founders Circle").
This Agreement is in addition to, and incorporates, the JetQuest Terms of Service and Privacy Policy.
Where this Agreement and the Terms of Service conflict on Founders Circle matters, this Agreement controls.
READ BEFORE PAYING.
Founders Circle enrollment is a fully non-refundable one-time purchase. Your lifetime perks activate immediately and are fully delivered upon payment. The 48-hour refund window applicable to standard JetQuest Trip bookings does not apply to Founders Circle enrollment. By paying your enrollment fee, you affirm you have read, understood, and agreed to every provision of this Agreement.
1. What the Founders Circle Is
Founders Circle enrollment is a fully non-refundable one-time purchase. Your lifetime perks activate immediately and are fully delivered upon payment. The 48-hour refund window applicable to standard JetQuest Trip bookings does not apply to Founders Circle enrollment. By paying your enrollment fee, you affirm you have read, understood, and agreed to every provision of this Agreement.
2. Enrollment Fee, Pricing, and Liquidated Damages
2.1 Pricing

Double Package (shared room on first Trip): $1,800 per person.
-
Single Package (private room on first Trip): $2,500.

The single/double distinction applies only to the Member's first selected Trip. After the first Trip, all Founders Circle perks and pricing benefits are identical regardless of starting package.

Pricing may increase after the first 50 spots are claimed; the price in effect at the time you complete payment is the price that applies to you.
2.2 Allocation of Enrollment Fee (Liquidated Damages Framework)
The parties acknowledge and agree that JetQuest's actual damages and costs in the event of a Member cancellation are difficult to estimate at the time of enrollment because the Founders Circle includes (a) lifetime perks delivered immediately, (b) reservation of one of only 100 limited spots, (c) commitments to vendors, accommodations, and operational planning made in reliance on enrollment, and (d) loss of the opportunity to fill the spot with another Member at the originally offered price tier. The enrollment fee therefore functions as liquidated damages, representing the parties' good-faith pre-estimate of JetQuest's compensation for these losses, and is not a penalty. The fee is allocated approximately as follows:

Lifetime Perks Bundle: the value attributable to the lifetime discounts, app access, lifetime subscription, VIP showcase access, voting rights, merchandise, and other perks listed in Section 3, fully earned and delivered upon enrollment.

Spot Reservation and Founder Status: the value of reserving one of only 100 limited Founder positions, fully earned upon enrollment.

Trip Credit: credit toward one (1) JetQuest Trip selected within the time and conditions in Section 4.
You agree this allocation is reasonable and that, given the immediate delivery and limited-quantity nature of the Founders Circle, no portion of the enrollment fee is refundable.
3. Lifetime Perks (Activated Immediately Upon Enrollment)
Upon successful payment, you immediately receive and are entitled to the following lifetime perks:

30% off every JetQuest Trip in 2026 for you and one (1) plus-one.

20% off every JetQuest Trip thereafter, for life, for you and one (1) plus-one.

Free airport pickup and drop-off on every JetQuest Trip you book.
-
Guaranteed early access to the JetQuest mobile application as one of the first 1,000 users.
-
The right to provide feedback that may influence JetQuest product decisions (advisory only; not a decision-making right).
-
VIP admission, for life, to all JetQuest Showcase events held in your city.
-
$100 off the JetQuest content package.
-
Free lifetime subscription to either the JetQuest Traveler or Host tier (your choice; see Section 3.1).
-
Founding Member status displayed inside the JetQuest app.
-
Founders Merch Pack (a hat and a t-shirt, or comparable items at JetQuest's discretion).
-
Voting rights on future JetQuest destinations (advisory; results are not binding on JetQuest).
-
Private community access with a direct line to Jonathon Lewis and the JetQuest team.
3.1 Lifetime Perk Conditions and Limits
"Lifetime" means for the operational lifetime of JetQuest as a going concern. If JetQuest ceases operations, dissolves, is acquired, undergoes a change of control, or materially restructures its product offerings, "lifetime" perks terminate or convert as set forth in Section 11 (Going-Concern and Change-of-Control Clause). JetQuest does not guarantee that any specific Trip, destination, app feature, or event will continue to exist. JetQuest may substitute perks of comparable value at its sole discretion (for example, replacing discontinued merchandise with new merchandise, or replacing a discontinued subscription tier with the closest equivalent then-available).
Perks are personal to the Member, are not transferable except as expressly stated, and have no cash value. Perks may not be combined with other discounts or promotions unless JetQuest expressly permits it. JetQuest may modify the operation of perks (e.g., booking process, redemption mechanics) without changing their substantive value.
4. Trip Selection and Trip Portion
4.1 Trip Selection Window

You have thirty (30) days from your enrollment date to select your first JetQuest Trip from the available calendar.

Selected Trips must start at least sixty (60) days from the date of selection, unless JetQuest expressly approves an earlier start.

Trip selection is first-come, first-served, and every Trip has limited spots. JetQuest does not guarantee availability of any specific Trip, destination, or date.
4.2 Failure to Select a Trip Within 30 Days
If you do not select a Trip within thirty (30) days of enrollment, fifty percent (50%) of your enrollment fee converts to a non-transferable Trip credit valid through December 31, 2026. The remaining fifty percent (50%) is retained by JetQuest as liquidated damages for the lifetime perks already delivered to you and the spot reservation already provided. You retain all lifetime perks regardless.
4.3 Trip Credits — Conditions

Trip credits expire on December 31, 2026 regardless of when issued.

Trip credits have no cash value and cannot be redeemed for cash under any circumstance.
4.4 Free Trip Swap
You receive one (1) free Trip swap to another available JetQuest Trip. The replacement Trip must start at least sixty (60) days from the date of the swap request, unless JetQuest expressly approves an earlier start. Additional swaps, if permitted at all, are at JetQuest's sole discretion and may be subject to fees.
4.5 Trip-Portion Cancellation by Member
Cancellation of your selected Trip is governed by the cancellation tiers in Section 6 of the JetQuest Terms of Service, calculated from the date you selected the Trip:

Within 48 hours of Trip selection: 100% of the Trip-portion value re-credited to your account as a non-transferable Trip credit (no cash refund; the enrollment fee remains non-refundable).

90+ days before the Trip start date: 50% of the Trip-portion value re-credited as a non-transferable Trip credit, valid through December 31, 2026.

Less than 90 days before the Trip start date: no credit, no transfer.
-
No-shows: Trip portion forfeited entirely. All lifetime perks remain active.
4.6 Trip-Portion Cancellation by JetQuest
If JetQuest cancels, postpones, modifies, shortens, or relocates your selected Trip, for any of the reasons in Section 6.3 of the Terms of Service (force majeure, safety, quality, under-enrollment, host unavailability, or any other condition outside JetQuest's reasonable control), you will receive 100% Trip-portion credit valid through December 31, 2026 (or twelve months from the date of cancellation, whichever is later). No cash refund will be issued. All lifetime perks remain active. JetQuest is not liable for any costs you incur independently (airfare, outside hotels, vaccinations, time off work, lost wages, or otherwise).
5. Founders Circle Enrollment Cancellation — No Refund
Founders Circle enrollment is final and non-refundable from the moment of payment. The 48-hour refund window in the standard JetQuest cancellation policy does not apply to enrollment because the lifetime perks bundle in Section 3 is fully delivered immediately upon enrollment.
This includes, without limitation, situations where:

You change your mind, regardless of how soon after enrollment.
-
Your personal circumstances change (job loss, relationship change, schedule conflict, illness, financial difficulty).
-
You decide you do not wish to use the perks.
-
You decide you do not wish to take any Trip.
-
You disagree with future JetQuest decisions, destinations, partners, or staffing.
-
You are dissatisfied with any Trip you take.
-
You are removed from a Trip for misconduct under the Terms of Service.
-
The JetQuest app, a specific feature, a specific destination, or a specific perk is delayed, modified, or discontinued (subject to Section 11).
JetQuest may, in its sole discretion and without obligation, offer a partial credit or accommodation in extraordinary circumstances. Any such accommodation in one case does not create a precedent, obligation, or expectation in any other case.
6. Chargebacks, Disputes, and Material Breach
By enrolling, you agree that this Agreement is the exclusive policy governing your refund and cancellation rights with respect to the Founders Circle. Initiating a chargeback, payment dispute, or reversal with your card issuer or bank in violation of this Agreement is a material breach. If you initiate such a dispute, JetQuest may:

Contest the dispute using your timestamped agreement to this Agreement, your enrollment record, and evidence of perks delivered.

Suspend or terminate all your lifetime perks and revoke your Founder status, with no refund of any amount.

Cancel any pending or selected Trip, with no Trip credit issued.
-
Recover from you all costs of defending the dispute, including reasonable attorneys' fees, to the maximum extent permitted by law.

Bar you from any future participation in JetQuest products, Trips, or events.
7. Founders Circle Is Not an Investment
You understand and agree that:

The Founders Circle is a consumer perks-and-Trip program, not a security, investment contract, equity interest, profit-sharing arrangement, partnership interest, or revenue share.

You will not receive equity, dividends, profits, distributions, or any financial return from JetQuest as a result of enrollment.

Marketing materials describing the Founders Circle as supporting JetQuest's growth or as a "founding position" are aspirational and community-oriented; they do not create any ownership, contractual return, or investment expectation.

You are not relying on any expectation of profit from JetQuest's efforts in deciding to enroll.
-
"Voting on future destinations" and similar perks are advisory only and do not constitute corporate voting rights, governance rights, or fiduciary entitlements.
8. Plus-One Discounts
Discounts described as applying to "you and a plus-one" require that the plus-one book a Trip at the same time as you, on the same Trip and same dates. The plus-one discount is non-transferable, non-stackable with other promotions, and may not be sold or assigned. JetQuest may verify that the plus-one is genuinely traveling with you and may withhold the discount if it determines the plus-one designation is being used to provide a non-Member with a Founders rate disconnected from your travel.
9. Trip Risks, Health, and Documentation
All Trips you take as a Founders Circle Member are subject to the assumption-of-risk, documentation, and health-responsibility provisions in the JetQuest Terms of Service, including without limitation Section 6.6 (travel documentation and health) and Section 15 (assumption of risk). You are solely responsible for valid passports, visas, vaccinations, fitness for participation, and travel insurance. JetQuest strongly recommends comprehensive travel insurance for every Trip.
10. Communications, Marketing, and Likeness
By enrolling, you consent to receive communications about your Founders Circle membership, including transactional notices, Trip-related updates, and Founder-only marketing. You may opt out of non-essential marketing at any time, but transactional and member-status communications cannot be opted out of while you remain enrolled. You also grant JetQuest the rights described in Section 15 of the Terms of Service to use photographs, video, and audio recordings of you taken during Trips and Founders events, for marketing and promotional purposes, without compensation.
11. Going-Concern, Change-of-Control, and Discontinuation
You acknowledge that JetQuest is a private, founder-led company in an early stage of operations and that the value of "lifetime" perks is inherently dependent on JetQuest's ongoing existence and operations. In the event of any of the following, lifetime perks terminate or are modified as described:

Dissolution, bankruptcy, or wind-down: all perks terminate; no refund or substitute compensation is owed.

Acquisition or change of control: the acquiring entity may, at its option, continue the Founders Circle program, modify it, or terminate it. JetQuest will use commercially reasonable efforts to preserve perks but does not guarantee their continuation. No refund or substitute compensation is owed if perks are modified or terminated by the acquiring entity.

Material restructuring of products or business model: JetQuest may substitute perks of comparable value at its sole discretion. No refund is owed.

Discontinuation of a specific perk: JetQuest will use commercially reasonable efforts to substitute a perk of comparable value, but if no comparable substitute is available, that specific perk is discontinued without refund or substitute compensation.
You expressly acknowledge that you are not relying on the continued existence of any specific perk, destination, app feature, or business activity in deciding to enroll, and that the enrollment fee is non-refundable even if specific perks become unavailable as set forth above.
12. Limited Quantity, No Reopening
The Founders Circle is limited to one hundred (100) total Members. Once 100 spots are filled, enrollment closes permanently. JetQuest reserves the right to leave fewer than 100 spots filled if it ends the enrollment period earlier (for example, if the closing date passes before all 100 spots are claimed). The "Founders Circle" name, status, and benefits will not be reopened or replicated under that name in the future, though JetQuest may run other unrelated programs.
13. Eligibility
You must be at least 18 years old, legally able to form a binding contract, and not on any restricted-party or sanctions list, to enroll. JetQuest may refuse or revoke enrollment for ineligibility, fraud, or any reason permitted by law. If your enrollment is revoked due to fraud, ineligibility you concealed, or chargeback, no refund is owed.
14. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE FOUNDERS CIRCLE, ALL PERKS, AND ALL TRIPS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. JETQUEST DOES NOT WARRANT THAT ANY PERK WILL MEET YOUR EXPECTATIONS OR THAT ANY SPECIFIC TRIP, DESTINATION, OR FEATURE WILL BE OFFERED OR REMAIN AVAILABLE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JETQUEST'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT, FOR ANY CLAIM RELATING TO YOUR FOUNDERS CIRCLE ENROLLMENT, IS LIMITED TO THE AMOUNT YOU PAID AS YOUR ENROLLMENT FEE. JETQUEST WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR USE.
16. Indemnification
You agree to defend, indemnify, and hold harmless JetQuest and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your breach of this Agreement, (b) your participation in any Trip or Founders event, (c) your interactions with other Members, hosts, vendors, or third parties, or (d) any chargeback, payment dispute, or claim brought in violation of this Agreement.
17. Dispute Resolution and Arbitration
Any dispute arising out of or relating to this Agreement is governed by Sections 18 and 19 of the JetQuest Terms of Service, including the requirement of informal resolution, binding individual arbitration in Harris County, Texas, the class-action waiver, the mass-arbitration batching protocol, and the thirty-day opt-out window. The opt-out window for arbitration runs from the date you first accept the JetQuest Terms of Service, not separately from the date you enroll in the Founders Circle.
18. Governing Law and Venue
AThis Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Subject to Section 17, exclusive venue for any non-arbitrable dispute is in the state or federal courts located in Harris County, Texas.
19. Severability and Reformation
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions remain in full effect. If any provision (including the non-refundability or liquidated damages provisions in Section 2.2) is found unenforceable as written, the parties intend that a court reform the provision to the maximum extent enforceable, rather than strike it entirely.
20. Entire Agreement; Modifications
This Agreement, together with the JetQuest Terms of Service and Privacy Policy, is the entire agreement between you and JetQuest regarding the Founders Circle. It supersedes all prior or contemporaneous communications, marketing materials, social posts, verbal representations, and proposals regarding the Founders Circle. JetQuest may update this Agreement prospectively for new enrollees; the version in effect at the time of your enrollment governs your membership, except for changes required by law.
21. Notices
Notices to JetQuest must be sent to info@jetquest.net. Notices to you may be sent to the email address on file with your account or by in-app notification.
22. Acknowledgment
BY CLICKING "I AGREE," CHECKING THE ACKNOWLEDGMENT BOX AT CHECKOUT, OR SUBMITTING PAYMENT FOR YOUR FOUNDERS CIRCLE ENROLLMENT, YOU REPRESENT AND AGREE THAT:
1. You have read, understood, and agree to every provision of this Agreement.
2. You understand the enrollment fee is fully non-refundable and that lifetime perks are delivered immediately upon payment.
3. You understand the 48-hour refund window for standard Trip bookings does not apply to Founders Circle enrollment.
4. You understand the Founders Circle is not an investment and confers no equity or financial-return rights.
5. You understand "lifetime" perks depend on JetQuest's continued operation and may be modified, substituted, or discontinued under Section 11 without refund.
6. You agree to the binding arbitration, class-action waiver, and Texas governing law provisions.
7. You are at least 18 years old and legally able to enter this Agreement.
8. Your acceptance is timestamped and constitutes your binding signature.
